What will you be doing:

The Counsel, Technology Ventures Legal will support the Executive Director, Technology Ventures Legal in providing quality legal services and advice to Cedars-Sinai's Technology Ventures program, which is responsible for the protection and commercialization of intellectual property at Cedars-Sinai. Beyond Technology Ventures, the Counsel will also support the legal needs of the business units managed by Technology Ventures, the Cedars-Sinai Accelerator, Cedars-Sinai Health Ventures, and other venture-related programs at Cedars-Sinai. Primary duties and responsibilities include the following:

  • Provide general legal advice and services to Technology Ventures and its related programs regarding a wide variety of intellectual property, technology transfer, and venture capital-related matters.
  • Draft and negotiate a variety of contracts to support Technology Ventures and its related programs, including non-disclosure/confidentiality, consulting services, vendor, SaaS, research collaboration, material transfer, IP license, and other technology-related or corporate agreements.
  • Negotiate and coordinate relationships and interactions with Cedars-Sinai’s institutional partners, inventors, licensees, start-up companies, vendors, and other third parties.
  • Draft agreement summaries, policies and procedures, and correspondence regarding Technology Ventures and its related programs.
  • Support agreement processing and tracking compliance with agreement obligations.
  • Coordinate and support the protection and commercialization of Cedars-Sinai’s intellectual property portfolio.
  • Stay current on all statutory, regulatory, and case law developments in the fields of intellectual property, technology, licensing, and other areas that impact the transactional work of Technology Ventures and its related programs. Anticipate changes in the legal environment that may impact the operations of Technology Ventures and assess the need for changes to standard operating procedures and standard form agreements.
  • Complete special projects and tasks assigned by the Executive Director for Technology Ventures Legal and manager(s) in Technology Ventures and its related programs.
  • Participate in the development and promotion of cooperation, teamwork, and a close working relationship among the staff of Technology Ventures in achieving the goals and objectives of the program and Cedars-Sinai overall.

Qualifications

Experience Requirements:

Three (3) plus years of experience in drafting and negotiating intellectual property, technology, commercial, corporate, or research-related transactions is required. 

Solid grasp with technology transfer, venture capital, or health tech is preferred.

Educational/Licenses Requirements:

Juris Doctorate degree, graduate of ABA accredited law school required.

Licensed Attorney – current CA state bar membership required.
